Terms of Service

1. Acceptance of Terms

By accessing or using the Savvagent service (the "Service"), provided by Savvagent, LLC, a Utah limited liability company, you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Savvagent provides an AI-powered feature flag management platform that enables software teams to control feature rollouts, conduct A/B testing, and correlate feature flag states with production errors. The Service includes web-based management tools, SDKs for various programming languages, APIs, and integrations with third-party observability tools through the Model Context Protocol (MCP).

3. Account Registration and Security

To access the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials and TOTP authenticator
• Promptly notify us of any unauthorized access or security breach
• Be responsible for all activities that occur under your account

4. Acceptable Use

You agree not to:

• Use the Service in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or transfer your rights to the Service without authorization
• Use the Service for competitive benchmarking without prior written consent
• Upload or transmit malicious code, viruses, or harmful data

5. Customer Data

You retain all rights to the data you submit to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Service. We will not access, use, or disclose Customer Data except as necessary to provide the Service, comply with the law, or as otherwise set forth in our Privacy Policy.

Sensitive Data

You agree not to submit sensitive personal data to the Service unless you have appropriate safeguards in place. Sensitive data includes health information protected by HIPAA, payment card data subject to PCI-DSS, government identification numbers, and data protected by similar regulations.

6. Intellectual Property

The Service and all related technology, documentation, and content are the exclusive property of Savvagent, LLC and its licensors. These Terms do not grant you any rights to use our trademarks, logos, or other brand features without prior written consent.

7. Fees and Payment

Certain features of the Service require payment. Fees are non-refundable except as required by law or as expressly stated in your subscription agreement. We may change our fees upon reasonable notice. Continued use of paid features after a fee change constitutes acceptance of the new fees.

8. Termination

Either party may terminate these Terms at any time. Upon termination, your right to access the Service will cease immediately. We will retain Customer Data for 30 days following termination, after which it may be deleted. Provisions that by their nature should survive termination will survive, including intellectual property rights, disclaimers, and limitations of liability.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAVVAGENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SAVVAGENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Savvagent and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Modifications to Terms

We may modify these Terms at any time by posting the revised Terms on our website. Material changes will be notified via email or through the Service. Your continued use of the Service after any changes constitutes acceptance of the modified Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Utah, and you hereby consent to the personal jurisdiction and venue of such courts.
